Certain cliqwell offerings may permit a parent or lawful guardian to create, manage or use a profile or service for a child. Where this functionality is provided, the parent or guardian is responsible for the child's use of the relevant offering, the information submitted on the child's behalf, and permissions or consents that the parent or guardian is authorized and required to provide.
A child must not independently create or use an account, enter into a transaction, or access a feature where the relevant cliqwell product requires parent- or guardian-managed use or where independent use is not permitted by applicable law.
Cliqwell may use age, relationship, consent or verification measures where appropriate or required. We may restrict or discontinue access where eligibility, age or parent/guardian requirements are not satisfied.
Additional safeguards, consent requirements or product-specific rules may apply where a service involves children, health or wellbeing information, payments, location information, public profiles, photographs, videos or other features requiring particular care.
Some cliqwell offerings may require you to create an account or profile. You must provide information that is accurate, current and complete to the extent required for the relevant account or service, and you are responsible for keeping that information reasonably up to date.
You are responsible for maintaining the confidentiality and security of your login credentials and for activity conducted through your account, except to the extent that responsibility arises from an act or omission for which cliqwell is legally responsible.
You must not impersonate another person, create an account using information you are not authorized to use, misrepresent your identity or role, or permit unauthorized use of your account.
If you believe that your account or credentials have been compromised or used without authorization, you should notify cliqwell promptly through the support or contact mechanism made available for the relevant service.
Where supported, cliqwell may permit linked profiles, managed profiles, role-based profiles or other account arrangements. Additional rules may apply to such functionality, including verification, permissions, account linking, profile management and responsibility for persons whose profiles are managed by another user.
Cliqwell may require reasonable verification or re-authentication for account security, sensitive changes, transactions, account recovery or other appropriate purposes.
Cliqwell may provide different digital products, platforms and services under the cliqwell umbrella. The functionality available will depend on the particular offering and may change as products and services develop.
Depending on the relevant product, cliqwell offerings may enable users to discover or interact with activities, professionals, instructors, studios, healthcare or wellbeing providers, organizations or other service providers; create or manage profiles; access information or content; make bookings or transactions; communicate or participate; submit reviews or other content; or receive personalized or technology-assisted functionality.
The availability of a category of functionality under these terms does not mean that every cliqwell product provides that functionality or that a feature is currently available. The actual functionality of each product or service is determined by what cliqwell makes available through that offering.
Certain services may depend on third-party providers, integrations, payment systems, communications services, mapping or location services, healthcare systems or other external infrastructure. Relevant third-party terms may also apply where you choose or are required to use those services.
Cliqwell may introduce, modify, suspend or discontinue features in accordance with these terms, applicable product-specific terms and applicable law.
You are responsible for using cliqwell offerings lawfully, responsibly and in accordance with these terms and any applicable product-specific requirements.
Information that you provide through a cliqwell offering must, to the best of your knowledge, be accurate and not materially misleading. This is particularly important where information relates to identity, age, parent or guardian status, professional or service-provider details, qualifications, availability, pricing, bookings, transactions, health-related information or other information on which cliqwell or another user may reasonably rely.
You are responsible for ensuring that you have the necessary rights, permissions and authority to submit information or content concerning another person.
You must review relevant service information before making a booking, purchase or other decision and comply with reasonable requirements communicated for the relevant service, activity or transaction.
Where you act as a professional, instructor, studio, healthcare provider, organization or other service provider through a cliqwell offering, you are additionally responsible for information and representations you provide concerning your identity, credentials, qualifications, services, availability, pricing and other material details, subject to any verification or product-specific requirements imposed by cliqwell.
Nothing in this section transfers to a user responsibility that applicable law places on cliqwell.
You must use cliqwell offerings only for lawful purposes and in a manner that does not harm cliqwell, other users, service providers or third parties.
You must not, through a cliqwell offering:
Cliqwell may investigate suspected misuse and may restrict, remove or take other appropriate action concerning accounts, content or activity in accordance with these terms, applicable law and any product-specific procedures.
Where a cliqwell offering permits user-generated or provider-generated content, additional content standards or moderation rules may apply.
Certain cliqwell offerings may display profiles, listings, schedules, services, qualifications, credentials, pricing, availability, photographs, videos, reviews, ratings or other information submitted by instructors, studios, healthcare or wellbeing professionals, organizations, users or other service providers.
A person or organization submitting such information is responsible for ensuring that the information is accurate, current, lawful and not misleading, and that they have the rights and permissions necessary to provide and display it.
Cliqwell may establish verification, moderation, listing or documentation requirements for particular categories of users or providers. A verification indicator, where provided, means only that the checks described for that particular verification process were completed at the relevant time. It is not, by itself, a guarantee of the quality, suitability, safety, availability, conduct or outcome of services provided by that person or organization.
Cliqwell may review, correct the presentation of, restrict, suspend or remove a listing or profile where reasonably necessary to enforce applicable terms, address inaccurate or unlawful information, protect users or the platform, respond to complaints or legal requirements, or maintain the integrity of the relevant service.
Users should consider the information relevant to their own circumstances before selecting or engaging with a provider. Where professional advice, diagnosis, treatment, emergency assistance or another regulated service is involved, additional terms and safeguards may apply.
The respective responsibilities of cliqwell, users and third-party service providers are addressed further in the applicable product-specific terms and in the later sections of these terms concerning service providers, platform role, health and wellbeing, transactions and disclaimers
Certain cliqwell products or services may enable users to make bookings, place orders, register for activities or services, or enter into other transactions.
Before completing a transaction, you are responsible for reviewing the information presented in relation to the relevant service, including, where applicable, the provider, description, date, time, location, price, eligibility requirements and other material conditions.
A booking, order or transaction is subject to availability, applicable eligibility requirements, payment completion where required, and any additional terms or conditions disclosed for the relevant service.
Cliqwell may provide a booking or transaction confirmation through the relevant product, application, email, message or other communication channel. A booking or transaction will be treated as confirmed only when confirmation is provided through the applicable cliqwell process.
Where a service is provided by an instructor, studio, healthcare professional, healthcare organization, wellbeing provider or another third-party service provider, fulfilment of that service may also be subject to reasonable provider-specific requirements disclosed before or in connection with the transaction.
You must not make fraudulent, speculative, false or unauthorized bookings, orders or transactions, or use another person's account or payment method without appropriate authority.
Cliqwell may decline, cancel, restrict or review a transaction where reasonably necessary because of suspected fraud or misuse, payment failure, incorrect or unavailable service information, legal or regulatory requirements, safety concerns, technical errors or other circumstances permitted under applicable law or the applicable product-specific terms.
Additional booking, fulfilment or transaction rules may apply to individual cliqwell products or services.
Certain cliqwell products or services may involve payments, platform charges, service fees, subscription fees or other amounts disclosed in connection with the relevant transaction.
Where payment is processed through a cliqwell product or service, the amount payable and other material payment information will be presented as applicable before the transaction is completed.
Payments may be processed using third-party payment service providers. Use of a particular payment method or payment service may also be subject to the terms and conditions of the relevant payment provider.
You are responsible for providing valid payment information and for ensuring that you are authorized to use the selected payment method.
Prices, fees, taxes and other applicable charges may vary depending on the relevant product, service, provider or transaction. Where required, applicable charges will be disclosed before completion of the transaction.
Cancellation, rescheduling and refund eligibility may differ depending on the nature of the product, service, booking, provider and circumstances involved. The applicable cancellation, rescheduling or refund conditions will be communicated through the relevant cliqwell product, service, booking flow or product-specific policy.
Where a refund is approved, it may be returned through the original payment method or another permitted method and may be subject to processing timelines of banks, payment service providers or other financial intermediaries.
Cliqwell may facilitate payments, refunds, settlements or other financial flows between users and service providers where this forms part of the relevant product. The applicable product-specific terms may address provider payouts, platform fees, deductions, settlements, disputes, taxes and other transaction-related matters.
Nothing in these terms limits any refund, cancellation or other consumer right that cannot lawfully be excluded under applicable law.
Certain cliqwell products may enable users to discover, view, communicate with, book, transact with or otherwise interact with instructors, dance studios, healthcare professionals, healthcare organizations, wellbeing providers, organizations or other independent service providers.
Service providers are responsible for maintaining the licences, registrations, qualifications, permissions, insurance or other authorizations required for the services they offer, where applicable.
Service providers are also responsible for the accuracy of material information they provide concerning their services, qualifications, credentials, pricing, availability, locations and other relevant details.
Cliqwell may establish onboarding, documentation, verification or eligibility requirements for particular categories of service providers. Completion of a cliqwell verification process does not transfer responsibility for the provider's professional conduct, services or continuing compliance with applicable professional or regulatory requirements to cliqwell.
Service providers must perform their services in accordance with applicable laws, professional requirements and the terms applicable to their use of the relevant cliqwell product.
Where a user has a concern regarding a service provider or a service received through a cliqwell product, the user may use the complaint, support, reporting or grievance mechanism made available for the relevant service.
Cliqwell may review complaints and may take appropriate action concerning a provider's access to the platform were permitted under applicable terms and law.
The role performed by cliqwell may differ depending on the particular product, service or transaction.
In some circumstances, cliqwell may provide the relevant service directly. In other circumstances, cliqwell may provide technology, discovery, communication, booking, payment or other functionality that enables users to interact or transact with independent third-party service providers.
Where a service is expressly identified as being provided by an independent instructor, studio, healthcare professional, healthcare organization, wellbeing provider or other third party, that provider remains responsible for the performance, quality, professional conduct and delivery of the service, subject to applicable law.
Cliqwell's operation of a platform, processing or facilitation of a booking or payment, verification of specified information, or provision of technology supporting an interaction does not by itself make cliqwell the provider of an independently supplied service or create an employment, agency, partnership or professional relationship between cliqwell and the independent provider.
Nothing in this section removes or limits any responsibility that applicable law places directly on cliqwell.
The precise role of cliqwell in relation to a particular product, service or transaction may be further described in the applicable product-specific terms or information presented as part of that service.
Certain cliqwell products or services may provide health- or wellbeing-related information, functionality, tools, content, recommendations or access to healthcare or wellbeing professionals or organizations.
Unless expressly stated otherwise for a particular service, general information, technology-assisted outputs, educational material, wellbeing content or other information made available through a cliqwell product is provided for informational or supportive purposes and is not intended to constitute medical diagnosis, medical advice, a prescription or a substitute for consultation with an appropriately qualified healthcare professional.
Health conditions, symptoms, treatments and individual circumstances vary. Users should seek appropriate professional medical advice where a health concern requires diagnosis, treatment, medication or clinical decision-making.
Where healthcare services are provided by an independent healthcare professional or healthcare organization through or in connection with a cliqwell product, responsibility for professional medical judgement, diagnosis, treatment and clinical decisions remains with the appropriately qualified healthcare provider, subject to applicable law.
Users are responsible for providing healthcare professionals with information that is accurate and complete to the best of their knowledge where that information is relevant to the healthcare service being sought.
Cliqwell does not guarantee a particular health, treatment, wellbeing or clinical outcome merely because a product, feature, professional or service is available or accessible through a cliqwell offering.
Product-specific terms, consent requirements and additional notices may apply to healthcare or health-related services.
Unless a particular cliqwell service expressly states otherwise, cliqwell products and digital services are not emergency medical services and should not be relied upon to obtain assistance in a medical emergency.
If you believe that you or another person is experiencing a medical emergency or requires urgent medical attention, you should contact the appropriate emergency service or seek immediate assistance from an appropriate healthcare facility or qualified healthcare professional.
Do not delay seeking emergency or urgent medical assistance because of information, content, communication, recommendations or functionality available through a cliqwell product.
A delay, interruption, unavailability or failure of a digital service, message, notification or communication must not be treated as a substitute for obtaining appropriate emergency assistance.
Additional emergency or escalation information may be displayed within a health-related cliqwell product where appropriate.
Certain cliqwell products or services may use artificial intelligence, algorithms, automated systems or other technology to provide recommendations, suggestions, search results, matching, personalization, analysis, assistance or other functionality.
Such outputs may be generated or influenced by information including user preferences, profile information, location, activity, available provider or service information, user interactions or other information relevant to the particular feature, subject to applicable privacy and consent requirements.
Ai-generated, automated or personalized outputs may not always be complete, accurate, current or suitable for every individual or circumstance. Users should apply appropriate judgement when relying on such outputs and should verify information where the nature or importance of a decision reasonably requires verification.
Recommendations, rankings, matching or personalized results do not constitute a guarantee by cliqwell of the quality, suitability, availability, safety or outcome of a particular provider, service, activity or decision.
Ai or automated functionality relating to health or wellbeing is not a substitute for professional medical judgement, diagnosis or treatment unless a particular functionality is expressly offered and lawfully authorized for such purpose.
Where required by applicable law, cliqwell may identify, label or provide information concerning content or functionality that has been generated or materially modified using artificial intelligence or other automated technologies.
Users must not use cliqwell's ai or automated functionality to create, manipulate, upload or distribute unlawful, deceptive, harmful, infringing or unauthorized content.
Additional disclosures, controls or product-specific terms may apply to particular ai or automated features.
Certain cliqwell products or services may permit users, instructors, studios, professionals, organizations or other service providers to submit, upload, publish or otherwise make available content.
Such content may include profile information, photographs, videos, reviews, ratings, comments, feedback, service information, documents, communications or other materials (“user content”).
You retain any ownership rights that you lawfully hold in your user content.
By submitting user content to a cliqwell product or service, you grant cliqwell a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, communicate, format and otherwise use that user content to the extent reasonably necessary to operate, provide, secure, improve and promote the relevant cliqwell product or service, subject to applicable law, our privacy policy and any additional permissions required for particular uses.
The license granted under this section does not automatically authorize cliqwell to use an identifiable individual's photograph, video, testimonial or similar content for unrelated advertising or promotional purposes where separate consent or authorization is required.
You must have all rights, permissions and authorizations necessary to submit user content and to grant the rights described in these terms.
User content must not violate applicable law, these terms, another person's intellectual property, privacy or other rights, or any content standards applicable to the relevant cliqwell product.
Reviews and ratings should reflect genuine experiences or opinions and must not be fraudulently created, manipulated or exchanged for an undisclosed improper benefit.
Cliqwell may moderate, restrict, disable access to or remove user content where reasonably necessary to enforce these terms, comply with applicable law, respond to complaints or legal requirements, protect users or third parties, or maintain the safety and integrity of the relevant service.
Feedback or suggestions provided to cliqwell concerning our products or services may be used by cliqwell to evaluate, develop or improve our offerings without creating an obligation to implement the feedback or compensate the person providing it, unless otherwise agreed in writing.
Certain cliqwell products, services, events, programs or activities may involve photographs, videos, audio recordings, testimonials, reviews or other identifiable content.
Where a user voluntarily submits content for a purpose that inherently involves publication or display through the relevant cliqwell service, cliqwell may display or use that content for that stated purpose in accordance with these terms, our privacy policy and applicable law.
Providing a photograph, video, testimonial or other identifiable content to cliqwell for one purpose does not automatically authorize cliqwell to use that content for an unrelated advertising, promotional or public-facing purpose where separate consent or authorization is required.
Where required, cliqwell may obtain separate permission for promotional or advertising use of identifiable photographs, videos, testimonials or similar content.
Where content relates to a child, appropriate parent or guardian permissions and additional safeguards may be required.
If you tag, mention or interact with cliqwell through a third-party social-media platform, your use of that platform remains subject to the platform's own terms and policies. Cliqwell's ability to use or reproduce identifiable content from such interaction will remain subject to applicable rights, permissions and law.
Users must not upload or share photographs, videos, recordings or other content depicting another person unless they have the rights and permissions required to do so.
Any intellectual property rights, privacy rights and permissions applicable to such content will be handled in accordance with these terms, our privacy policy, applicable product-specific terms and applicable law.
Cliqwell products and services may use, integrate with, link to or provide access to products, services, platforms or functionality operated by third parties.
These may include, where applicable, payment services, authentication services, mapping and location services, communication and messaging services, cloud or technology services, healthcare or digital health systems, social-media platforms and other external services.
Where you choose to access, connect or use a third-party service, your use of that service may be subject to the third party's own terms, policies and practices.
Cliqwell does not control and is not responsible for the independent operation, content, availability, security, terms or practices of a third-party service, except to the extent responsibility is imposed on cliqwell under applicable law.
The inclusion of a link, integration or connection to a third-party service does not by itself constitute an endorsement, guarantee or representation by cliqwell regarding that third party or its products or services.
Where a third party performs services on behalf of cliqwell rather than independently, cliqwell's responsibilities in relation to that arrangement will be governed by applicable law and the relevant contractual arrangements.
Additional terms or permissions may apply where a particular cliqwell product integrates with or exchanges information with a third-party service.
Cliqwell and its licensors, as applicable, own or have rights to the intellectual property associated with cliqwell's websites, applications, digital platforms, products, services and related materials.
This may include software, technology, designs, interfaces, layouts, graphics, logos, trademarks, service marks, trade names, text, original content, databases, features and other materials created or made available by or for cliqwell, excluding user content and third-party materials owned by their respective rights holders.
Subject to these terms and any applicable product-specific terms, cliqwell grants you a limited, non-exclusive, non-transferable and revocable right to access and use the relevant cliqwell offering for its intended purpose.

Intellectual property belonging to third parties remains the property of the relevant rights holders and may be subject to separate terms or licenses.

Cliqwell may from time-to-time conduct or facilitate promotions, contests, campaigns, events, programs, surveys, research initiatives or similar activities.
Participation may be subject to additional eligibility criteria, rules, terms, consent requirements or notices communicated in connection with the relevant activity.
Where additional rules apply, they will govern participation in that activity together with these terms. If there is a conflict concerning the specific activity, the specific rules will apply to the extent of the conflict.
Participants must provide accurate information where required and must not manipulate, interfere with or fraudulently participate in an activity.
The availability, duration, eligibility, benefits, prizes or other conditions of a particular activity will be determined by the terms communicated for that activity and applicable law.
Where an activity is conducted with a sponsor, partner or other third party, the role and responsibilities of that party may be separately identified.
Use of personal data, photographs, videos, testimonials or other identifiable information in connection with an activity will be subject to our privacy policy, applicable notices, permissions and law.
Cliqwell processes personal data in accordance with its privacy policy and applicable data protection and privacy laws.
Our privacy policy explains, among other matters, the categories of personal data we may collect, how personal data may be collected and used, circumstances in which it may be shared, data security and retention practices, and rights and choices available to individuals.
Certain products, services or features may also provide product-specific privacy notices, consent requests or permissions where additional information is appropriate or required.
Where a cliqwell product involves children, health or wellbeing information, location information, photographs or videos, personalized functionality, third-party integrations or other processing requiring particular permissions or safeguards, additional privacy or consent requirements may apply.
These terms do not replace or limit rights available to individuals under applicable data protection or privacy law.

Cliqwell seeks to provide reliable and useful digital products and services, but availability may be affected by maintenance, updates, technical issues, network or infrastructure conditions, third-party services, security requirements or other circumstances.
Cliqwell does not guarantee that every product, service or feature will be continuously available, uninterrupted or error-free.
We may introduce, modify, update, replace, restrict, suspend or discontinue a product, service or feature were reasonably necessary for operational, technical, security, commercial, legal, regulatory or product-development reasons.
Where a change materially affects an existing paid service, transaction or user right, cliqwell will address the change in accordance with applicable product-specific terms and applicable law.
Updates to software or applications may be required to maintain functionality, security, compatibility or access to particular features.
Certain functionality may depend on compatible devices, operating systems, internet connectivity, location availability or third-party infrastructure.
Nothing in this section limits obligations that cliqwell is required to fulfil under applicable law.
Cliqwell may restrict, suspend or terminate access to an account, profile, listing, feature or service where reasonably necessary, including where:
Where reasonably appropriate and legally permitted, cliqwell may provide notice or an opportunity to address an issue before or following restriction, suspension or termination.
Immediate action may be taken were reasonably necessary because of fraud, security, safety, unlawful conduct, serious misuse or a legal requirement.
A user may stop using a cliqwell service and, where account functionality is provided, may request account closure subject to applicable procedures.
Termination or account closure does not automatically cancel rights, obligations, payments, refunds, disputes, liabilities or other matters that arose before termination and lawfully continue afterward.
Provisions that by their nature are intended to continue after termination, including provisions concerning intellectual property, outstanding transactions, disclaimers, liability, indemnification and dispute resolution, will survive to the extent applicable.
Cliqwell seeks to provide its products and services with reasonable care and in accordance with applicable law.
However, to the maximum extent permitted by applicable law, cliqwell does not warrant that every website, application, platform, product, service, feature, listing, recommendation, communication or item of content will at all times be uninterrupted, error-free, complete, accurate, current, secure or suitable for every user's particular circumstances.
Information submitted by users, instructors, studios, professionals, healthcare providers, organizations or other independent third parties may originate from those persons or organizations. Cliqwell does not guarantee the accuracy or completeness of independently supplied information merely because it is displayed through a cliqwell service.
Services supplied by independent third-party providers remain subject to the responsibilities of those providers as described in these terms and applicable law.
Health- and wellbeing-related information and ai or automated functionality are additionally subject to the limitations described in sections 14, 15 and 16 of these terms.
To the extent permitted by applicable law, cliqwell offerings are provided on an “as available” basis, subject to any express commitments made by cliqwell for a particular paid product or service.
Nothing in these terms excludes any warranty, guarantee, consumer protection or other right that cannot lawfully be excluded.
Nothing in these terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
Subject to that principle and to the maximum extent permitted by applicable law, cliqwell will not be liable for losses arising solely from:
To the maximum extent permitted by applicable law, cliqwell will not be liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable or that do not arise directly from cliqwell's breach of an applicable legal or contractual obligation.

The limitations in these terms will not apply where a loss results from fraud, wilful misconduct or another matter for which liability cannot lawfully be excluded or limited.

This section does not require you to indemnify cliqwell for losses caused by cliqwell's own fraud, willful misconduct, breach of law or other conduct for which liability cannot lawfully be transferred to you.
Cliqwell will seek to take reasonable steps in relation to a claim for which indemnification is sought and will not recover the same loss more than once.
Cliqwell will not be responsible for a delay or failure to perform an obligation to the extent that the delay or failure results from circumstances beyond its reasonable control and where applicable law permits such relief.
Such circumstances may include natural disasters, severe weather events, epidemics or public-health emergencies, war, terrorism, civil disturbance, governmental action, changes in law, labor disruption, widespread telecommunications or internet failures, power failures, cyber incidents affecting external infrastructure, failures of critical third-party infrastructure or other comparable events beyond cliqwell's reasonable control.
Were reasonably practicable, cliqwell will take appropriate steps to mitigate the effect of such circumstances on affected services.
This section does not remove obligations relating to refunds, consumer rights or other matters where applicable law requires those obligations to continue despite the relevant event.

If a dispute or concern arises in connection with a cliqwell product or service, you are encouraged to first contact cliqwell through the applicable support or grievance mechanism so that the matter can be reviewed and an attempt can be made to resolve it.
Nothing in these terms prevents a consumer or other person from using a statutory complaint, grievance, regulatory or dispute-resolution mechanism available under applicable law.
